1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Rediox Tech LLC (“Company,” “we,” “us,” or “our”), the operator of Time Duel (“the App”).

By downloading, installing, accessing, or using Time Duel, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the App.

2. About Time Duel

Time Duel is a mobile application that allows users to create punctuality challenges with themselves or other users. Participants stake real money on arriving at a designated location by a set time. The first participant to arrive on time earns the total staked amount.

Time Duel is operated by Rediox Tech LLC. All financial transactions are processed through Stripe, a third-party payment processor.

3. Eligibility

To use Time Duel, you must meet all of the following requirements:

Be at least 18 years of age
Be a legal resident of a US state or Canadian province where the App is available
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the App under applicable laws
Have a valid payment method accepted by Stripe

By using the App, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts of users who do not meet these requirements.

4. Account Registration

4.1 Creating an Account

You must provide accurate, complete, and current information during registration
You are responsible for maintaining the confidentiality of your login credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized account access at [email protected]

4.2 Account Termination

You may delete your account at any time through App settings
A 3-day grace period applies — you may reactivate within this period
After 3 days, deletion is permanent and irreversible
We reserve the right to suspend or terminate accounts that violate these Terms

5. Challenge Rules

5.1 How Challenges Work

A challenge creator sets a location, date, time, stake amount, and grace period
The challenge is sent to one or more participants who must accept it
All participants must contribute an equal individual stake amount
On the challenge date, participants must physically arrive at the designated location and press the Complete button to register their arrival
GPS location is verified at the time the Complete button is pressed

5.2 Winning and Losing

Each challenge has a set time (e.g., 9:00 PM) and a grace window before and after that time. The outcome is determined as follows:

ON TIME (Winner): A participant who arrives at the correct location and presses Complete within the valid time window (example: 8:55:01 PM to 9:04:59 PM for a 5-minute grace period) is marked as a Winner
LATE (Loser): A participant who fails to arrive at the correct location or does not press Complete within the valid time window is marked as a Loser

5.3 Payout Scenarios

The following outcomes apply based on participants’ results:

All participants win: No money changes hands. Every participant receives their individual stake back in full.
Some win, some lose: Each loser’s individual stake is processed. Stripe processing fees and the platform fee are deducted from each loser’s stake first. The remaining amount is distributed equally among all winners.
All participants lose: No one receives a payout. Each participant is charged a penalty of 20% of their individual stake amount, which is deducted automatically.

5.4 Platform Fee

Rediox Tech LLC charges a flat platform fee of $1.00 per losing participant’s stake. This fee is deducted from each losing participant’s stake before the remaining amount is distributed to winners. This fee is displayed clearly on the challenge confirmation screen before you commit to any challenge.

5.5 Self-Challenges

Users may create solo challenges against themselves
If you arrive at the correct location and press Complete within the valid time window, your full stake is returned
If you fail to complete on time, a penalty of 20% of your staked amount is charged

5.6 Grace Period

Each challenge includes a configurable grace window applied before and after the set challenge time
Pressing Complete within this window counts as arriving on time
The grace period is visible to all participants before they accept a challenge

5.7 Prohibited Challenges

Challenges involving illegal locations or activities
Challenges designed to defraud other participants
Challenges involving minors
Any challenge that violates applicable laws or regulations

6. Payments and Financial Terms

6.1 Payment Processing

All payments are processed by Stripe. By using Time Duel, you agree to Stripe’s Terms of Service and Privacy Policy. We do not store your payment credentials on our servers.

6.2 Stakes and Payouts

Stake amounts must meet the minimum amount set by the App
All stakes are held securely until the challenge concludes
Winners receive automatic payouts through Stripe
Payouts are subject to Stripe’s processing times (typically 2-7 business days)
A flat platform fee of $1.00 is deducted from each losing participant’s stake before distribution to winners. This fee is shown on the challenge confirmation screen.

6.3 Refunds and Cancellations

Challenge cancelled before start time: full stake refunded to all participants
All participants complete on time: full stake returned to each participant, no fees charged
Some win, some lose: losers’ stakes (minus Stripe and platform fees) are distributed equally to winners. No refunds to losers.
All participants lose: each participant is charged a 20% penalty of their individual stake. No refunds apply.
Technical errors caused by the App: full stake refunded to all participants after investigation
Refunds are processed through Stripe and may take 5-10 business days

6.4 Taxes

You are solely responsible for reporting and paying any taxes applicable to your winnings in your jurisdiction. Rediox Tech LLC does not provide tax advice.

6.5 Disputed Transactions

If you believe a charge was made in error, contact us at [email protected] within 30 days of the transaction. We will investigate and respond within 10 business days.

7. Dispute Resolution for Challenges

7.1 Raising a Dispute

Users may raise a dispute within the dispute window shown in the App after a challenge completes
Disputes must be submitted through the in-app dispute feature
Provide any supporting evidence (screenshots, location data, etc.)

7.2 Resolution Process

We will review all disputes using available GPS data and challenge records
Our decision is final and binding
Resolution typically occurs within 5-10 business days
If a dispute is resolved in your favor, the appropriate amount will be refunded

7.3 GPS Accuracy

While we use GPS verification to ensure fairness, GPS technology is not 100% accurate. In cases of clear GPS error, we will review available data and make a fair determination. Rediox Tech LLC is not liable for errors caused by device GPS inaccuracies, poor signal, or location service failures.

8. User Conduct

By using Time Duel, you agree not to:

Use the App for any illegal or unauthorized purpose
Attempt to manipulate GPS data or location services to gain unfair advantage
Create fake challenges or use multiple accounts
Harass, threaten, or harm other users
Attempt to hack, scrape, reverse-engineer, or disrupt the App
Use the App if you are under 18 years of age
Violate any applicable local, state, federal, or international laws

Violation of these rules may result in immediate account suspension or termination without refund of any pending stakes.

9. Intellectual Property

All content, features, and functionality of Time Duel — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Rediox Tech LLC and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

10. Privacy

Your use of Time Duel is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy.

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

Time Duel is provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied. Rediox Tech LLC does not warrant that the App will be uninterrupted, error-free, or completely secure.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law, Rediox Tech LLC, its officers, directors, employees, and agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, goodwill, or other intangible losses
Losses resulting from GPS inaccuracies or location service failures
Unauthorized access to or alteration of your account or data
Any matter beyond our reasonable control

Our total liability to you for any claims arising from use of the App shall not exceed the total amount you have paid to us in the 90 days preceding the claim.

11.3 Indemnification

You agree to indemnify and hold harmless Rediox Tech LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the App, violation of these Terms, or violation of any third-party rights.

12. Not a Gambling Application

Time Duel is designed as a behavioral improvement and personal accountability tool, not a gambling application. The following distinctions apply:

Skill and Action Based: The outcome of every challenge is determined entirely by the user’s own action — physically arriving at a location on time. There is no element of chance, luck, or randomness involved.
User Controlled: Every participant has full control over whether they win or lose. The result depends solely on punctuality and personal commitment, not on any random or automated outcome.
Behavioral Purpose: The App is designed to encourage punctuality, build accountability habits, and improve time management — not to facilitate gambling or games of chance.
No House Edge: Rediox Tech LLC does not participate in challenges or benefit from any specific outcome. The platform fee is a flat service charge, not a wager.
Neutral Platform: The App acts as a neutral facilitator. We do not influence, predict, or control any challenge outcome.

Users, regulators, and app store reviewers should understand that Time Duel operates in the personal development and accountability space. However, because real money is involved, users are encouraged to use the App responsibly and within their means.

13. Third-Party Services

Time Duel integrates with the following third-party services:

Stripe: Payment processing, payouts, and fraud prevention — stripe.com/terms
Firebase (Google): App infrastructure — firebase.google.com/terms
Apple App Store / Google Play Store: Distribution platforms

We are not responsible for the practices or content of third-party services. Your use of these services is governed by their respective terms.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction in those courts.

15. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the App that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Arbitration will be conducted in Michigan
Each party shall bear their own costs unless otherwise determined by the arbitrator
This arbitration agreement does not apply to disputes involving intellectual property rights
YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION PROCEEDINGS

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the App or by email. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rediox Tech LLC regarding the use of Time Duel and supersede all prior agreements and understandings.
